This course will be of benefit to anybody engaged with managing and advising companies.
Overview
Nearly a decade in the making the much-debated Companies Act 2020 has consolidated many different pieces of legislation and clarified areas of previous company case law and thus represents the most wide-ranging change to company law for over fifty years. Everyone who advises companies or is regularly involved in transactions with UK companies needs to be familiar with the details and impact of this legislation.
This course will provide not only an overview of the changes but practical implications for private and public companies. In particular the course will allow you to explore through case studies and discussion how directors, shareholders and their advisers can ensure compliance with this Act.
By the end of this course you will be able to:
- Understand the main differences introduced and brought into force by the Act
- Advise on E-communications with shareholders and companies
- Identify changes to the law relating to company formation, constitution, capacity and administration
- Asses the impact of the new duties expected of directors, including the duty to promote the company’s success
- Understand the changes relating to shares and share capital
- Identify issues relating to the Business Review (replacing the former Operating and Financial Review)
- Asses the new rules for auditors
- Advise on the new derivative action for minority shareholders
