Overview
The current climate is forcing business owners to re-evaluate their options. There may be advantages for groups in diversifying the ownership of the business. This course covers the different structures that might be used and the resulting commercial and legal issues.
By the end of this course you will be able to:
- Recognise the key issues involved in intra group reorganisations
- Understand why a business might reorganise by assesment of commercial drivers and objectives
- Manage the planning of a reorganisation
- Assess relevant company law issues including consents and approvals
- Recognise options for consideration and pricing
- Analyse the principal documents for both an asset and share purchase
- Identify post reorganisation steps
- Assess Directors’ duties and group interests
