This course will be of benefit to employment lawyers who provide corporate support, corporate lawyers who wish to gain greater knowledge of employment issues in transactions, senior HR professionals who work in companies expanding through merger or acquisition.

Overview

Clients increasingly view employees as the most important ‘asset’ of any target company or business. How the deal is structured also fundamentally affects an employee’s position at law. As employment law becomes ever more complex, it is vital to have a clear understanding of what can and can’t be done in relation to employees.

This course will provide you with a sound knowledge and skill base to advise effectively in this area.

By the end of this course you will be able to:

  • Identify the main employment rights on termination of employment (wrongful dismissal, unfair dismissal and redundancy)
  • Explain the employment implications of a transaction’s structure - business v share sales
  • Describe the key provisions of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (‘TUPE’) and their effect
  • Carry out the employment aspects of due diligence
  • Assess the liabilities of the seller and buyer in relation to an acquisition
  • Understand specific employment provisions of the acquisition agreement, including key warranties and indemnities

    Under the SRA’s new approach to continuing competence, solicitors are expected to use the Statement of Solicitor Competence to identify and address their learning and development needs. The competence statement requires the following competencies:
