Overview
In the current climate of risk aversion and increased litigation, it is even more important that buyers know what they are acquiring and sellers know what they are selling. The negotiation of warranties and indemnities to be given by the vendor and the disclosure against those warranties are two of the most important (and time consuming) aspects of corporate acquisitions and disposals. Using case studies, this course provides delegates with a thorough grounding in this essential area of corporate practice.
Topics covered on this course will include
- Overview of the purpose of warranties and indemnities, who gives warranties and when
- Case study looking at provisions the acquisition agreement relating to disclosure and knowledge from the vendor’s perspective
- Security for breach of warranty and warranty and indemnity insurance
- Vendor protection clauses
- Structure and purpose of the disclosure letter
- Case study looking at amendments to general disclosures from the buyer’s perspective
- Practical implications of the Infiniteland case: standard of disclosure and buyer’s prior knowledge
