Overview
Following the recent Mercury case, which highlighted that an ineffective method of executing deeds was worryingly common practice, it is essential that lawyers know the law relating to due execution of deeds and documents.
Topics covered on this course will include
- Overview of the requirements for an enforceable agreement: form (simple contract or deed), authority, capacity and due execution
- Identifying the relevant statutory provisions relating to the execution of deeds and documents including the practical impact of recent changes introduced by the Companies Act 2006
- Analysis of formalities and practice in relation to the execution of documents and deeds including recent updated guidance from the Law Society and CLLS on the practice of “virtual” signings or closings
- Looking at how various entities may execute simple contracts and deeds
- Consequences of incorrect execution
